Spring Dynamics, Inc. Terms and Conditions

Seller acknowledges that any estimates, forecasts of production volumes, or program durations, whether from the Buyer or Customer, are subject to change from time to time. Seller agrees to provide 100% on-time delivery of the quantities ordered and at the times specified by Buyer as set forth in each order and communicated thru Material Release Authorizations. The seller is required to hold 10 days of future material release requirements at all times to respond to any order increases.

Before and at the time Supplies are shipped, Seller will give Buyer sufficient warning in writing (including appropriate labels on all Supplies, containers, and packing, together with disposal and recycling instructions, Material Safety Data Sheets, and Certificates of Analysis) of any hazardous or restricted material that is an ingredient or part of the Supplies, together with any special handling instructions that are needed to advise carriers. Seller agrees to comply with federal, state provincial, and local laws pertaining to product content and warning labels, including and without limitation to the U.S. Toxic Substance Control Act and European Union Directive 2000/53/EC. Seller agrees to provide notification and any updated (Material) Safety Data Sheets to Buyer for all purchases the Buyer may have had activity with the seller.

During the term of this order and for at least 5 years following the last delivery of supplies or expiration of any applicable warranty period, Buyer has the right at any reasonable time to send authorized representatives, including Buyer’s customer representatives, to review/audit all pertinent documents, data, records, and other materials in the possession or under the control of Seller relating to the Supplies.

Material, processing, and component sellers agree to maintain ISO-9001 certification and work towards conformance to applicable IATF 16949 standard requirements. Laboratory testing and calibration sellers agree to maintain ISO-17025 accreditation.

Suppliers are required to monitor their own processes and are expected to continually improve them with the goal of zero defects.
